By accessing or using any Diazites service — including diazites.com, app.diazites.com, our AI employees, voice agents, and the QM platform (collectively, the "Services") — you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Description of services
Diazites provides AI-powered automation and business tools, including AI employees, voice agents, customer-engagement ("QM") software, website and content services, and related offerings. We may add, change, or discontinue features at any time.
3. Accounts and registration
- You must provide accurate and complete information when creating an account.
- You may sign in using Facebook Login or email; you are responsible for safeguarding your credentials.
- You are responsible for all activity that occurs under your account.
- Notify us immediately of any unauthorized use of your account.
4. Acceptable use
You agree not to misuse the Services. You will not:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to the Services, other accounts, or related systems.
- Interfere with or disrupt the integrity or performance of the Services.
- Send spam, unsolicited communications, or violate messaging/consent laws.
- Upload or transmit malicious code, or content that infringes third-party rights.
5. Fees and payment
Paid features are billed as described at the time of purchase. Fees are non-refundable except as required by law or expressly stated. We use third-party payment processors (e.g., Stripe); by making a purchase you agree to their terms. Failure to pay may result in suspension or termination of access.
6. Intellectual property
The Services and all content, software, and branding provided by Diazites are owned by Diazites LLC or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You retain ownership of content you provide; you grant us a license to use it solely to operate and improve the Services.
7. Third-party services
The Services may integrate with third-party platforms such as Facebook (Meta), Stripe, and others. Your use of those platforms is governed by their own terms and policies. Diazites is not responsible for third-party services or their handling of your data.
8. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the Services will be uninterrupted, error-free, or that results from AI-generated content will be accurate or suitable for your purposes.
9. Limitation of liability
To the maximum extent permitted by law, Diazites LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total aggregate liability will not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Diazites LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your content, or your violation of these Terms.
11. Termination
We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will survive.
12. Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Florida.
13. Changes to these terms
We may update these Terms from time to time. We will post the revised Terms with a new "Last updated" date. Continued use of the Services after changes means you accept the revised Terms.
